Welcome to LM Marketing and Sales. We are a Manufacturer’s Representative Sales Agency specializing in apparel, accessories, and jewelry. By engaging our services, you agree to the terms outlined in this document. These Terms and Conditions govern the relationship between LM Marketing and Sales, the manufacturers we represent, and the retailers we sell to.

• LM Marketing and Sales operates as a sales agency, facilitating sales between manufacturers and retailers. We do not own or distribute inventory unless explicitly stated otherwise.

• We work with both small businesses and key accounts, ensuring high-quality representation for our partners.

• Our road reps cover Illinois, Wisconsin, Indiana, and Michigan, providing direct support to retailers in these regions.

• Commission Structure: LM Marketing and Sales earns a commission on sales made through our representation. Commission rates and payment schedules will be outlined in individual manufacturer agreements.

• Exclusivity & Territory: Unless otherwise stated, LM Marketing and Sales operates exclusively within the Great Lakes region (Illinois, Wisconsin, Indiana, Michigan).

• Sales Reporting: We provide regular updates on sales performance, market trends, and retailer engagement.

• Order Placement: Orders facilitated by LM Marketing and Sales are subject to manufacturer approval. Retailers agree to comply with manufacturer terms for order fulfillment.

• Pricing & Payments: LM Marketing and Sales does not set pricing. All pricing and payment terms are determined by the manufacturer, and payments must be made directly to them unless otherwise agreed upon.

• Shipping & Delivery: LM Marketing and Sales is not responsible for the shipping, handling, or delivery of products. These aspects are managed by the manufacturer. Any delays or damages must be addressed with the manufacturer.

• Returns & Cancellations: Retailers must adhere to the return and cancellation policies set forth by the manufacturer. LM Marketing and Sales does not process returns or refunds.

• LM Marketing and Sales is not liable for any product defects, delivery failures, or retailer payment defaults.

• We do not guarantee sales performance. While we provide expert sales support, outcomes may vary based on market conditions and retailer demand.

• LM Marketing and Sales is not responsible for any financial loss, indirect damages, or operational disruptions related to transactions facilitated through our agency.

• Any proprietary or confidential information shared between LM Marketing and Sales, manufacturers, and retailers must remain confidential.

• All trademarks, logos, and marketing materials remain the property of their respective owners. Unauthorized use of intellectual property is strictly prohibited.

• Either party may terminate their agreement with LM Marketing and Sales with 30 days' written notice unless otherwise stated in a contract.

• LM Marketing and Sales reserves the right to modify these Terms and Conditions at any time. Notice of significant changes will be provided in writing.

These Terms and Conditions are governed by the laws of the State of Illinois. Any disputes arising from this agreement shall be resolved in accordance with Illinois state law.
